Introduction
These Terms of Service (“Terms”) govern your use of the Wildman Web Solutions LLC website and any services provided by Wildman Web Solutions LLC (“we,” “our,” or “us”). By accessing our website or engaging our services, you agree to be bound by these Terms.
If you do not agree to these Terms, do not use our website or services.
Services
Wildman Web Solutions LLC provides website design and development, AI implementation, business automation, digital marketing, and related technology services. Specific services, deliverables, pricing, and timelines are defined in individual project proposals or service agreements provided to each client.
Project Proposals and Agreements
A project proposal becomes a binding agreement when accepted by the client through signature and payment, or through issuance of a purchase order referencing the proposal and these Terms.
All services will be delivered to the client as named in the project proposal. Any transfer of services or deliverables to another party requires written approval from Wildman Web Solutions LLC.
Scope of Work
Anything not explicitly described in a project proposal is outside the scope of work for that project. Work beyond the defined scope may require additional fees, documentation, and development time.
Questions about the scope of work must be discussed with a Wildman Web Solutions representative before the agreement is executed. Disputes arising after execution regarding scope will be resolved at the discretion of Wildman Web Solutions LLC based on the written project proposal.
Project Timelines
A timeline will be provided for each project in writing. We will make every effort to meet agreed-upon delivery dates. The client is also responsible for adhering to the project timeline.
Client delays may result in additional fees. Delays include but are not limited to:
- Requested content (text, images, video, or other materials) not delivered on time or in an appropriate format
- Review or approval not provided on time or in full
- Communications not returned in a timely manner via phone, email, or other channels
The late fee for client-caused delays will not exceed 5% of the current project cost per week of delay.
Project Cancellation Due to Excessive Delays
Excessive delays caused by the client may result in project cancellation. Before cancellation, we will make at least three attempts to contact the client, followed by one final written notice.
If no response is received, the project will be deactivated. No refunds will be processed for deactivated projects.
A deactivated project may be reactivated with payment of a reactivation fee and agreement to a new timeline. Wildman Web Solutions LLC reserves the right to deny reactivation of any project.
Cancellation of Ongoing Services
Ongoing services with recurring billing may be canceled by the client with 30 days written notice. Written notice must be submitted via email or other documented communication.
Some services may be prorated as a result of cancellation. No refunds will be given for services already rendered or billing periods already begun.
Payment Terms
All payments are due as indicated on each invoice.
Late payments may be subject to a fee of up to 10% of the missed payment amount. Additional fees may be applied for each week the payment remains outstanding.
For recurring services, non-payment may result in service being delayed, suspended, or terminated.
Questions or disputes regarding an invoice must be raised before the invoice due date. Invoices past due are not subject to negotiation and may incur late fees as described above.
Intellectual Property
Upon full payment, the client receives ownership of custom deliverables created specifically for their project, including website designs, custom code, and original content, unless otherwise specified in the project proposal.
We retain ownership of pre-existing tools, templates, frameworks, and methodologies used in delivering services. We also retain the right to reuse general techniques, concepts, and non-confidential knowledge gained during the project.
We reserve the right to display completed work in our portfolio and marketing materials unless the client requests otherwise in writing.
Third-Party Services and Platforms
Our services may involve third-party platforms, tools, or integrations. These third-party services are governed by their own terms and policies. We are not responsible for the performance, availability, or terms of third-party services.
Content Disclaimer
Statements, opinions, and content created as part of a project (in text, image, video, or other media) represent the client’s business and do not represent the views or positions of Wildman Web Solutions LLC or its representatives.
The client is responsible for reviewing and approving all content before publication.
Results Disclaimer
We make no guarantees regarding specific business outcomes, revenue increases, traffic improvements, or other results from our services. Results vary based on many factors outside our control, including market conditions, client implementation, and third-party platform changes.
We will deliver our services with professional care and industry best practices, but past performance and case studies do not guarantee future results.
Limitation of Liability
To the fullest extent permitted by law, Wildman Web Solutions LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to our services or these Terms.
Our total liability for any claim arising from our services shall not exceed the amount paid by the client for the specific service giving rise to the claim.
Indemnification
The client agrees to indemnify and hold harmless Wildman Web Solutions LLC, its owners, employees, and contractors from any claims, damages, losses, or expenses (including legal fees) arising from:
- The client’s use of our services
- Content provided by the client
- The client’s violation of these Terms
- The client’s violation of any third-party rights
Confidentiality
We will treat client information and project details as confidential and will not share them with third parties except as necessary to deliver services or as required by law.
The client agrees not to share proprietary information about our tools, processes, or pricing with competitors.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Kansas. Any disputes arising from these Terms or our services shall be resolved in the courts of Kansas.
Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated revision date. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.
For active projects or ongoing services, significant changes to these Terms will be communicated directly to affected clients.
Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full effect.
